The principal proceeds of the Bonds will be used to pay the costs of extending, improving, enlarging and adding to the existing sewer system and sewage disposal plants of the County (such extensions, improvements, enlargements and additions being hereinafter referred to as the "Project"). 3. The County has entered into, or will enter into within six (6) months of the date of issue of the Bonds, binding contractual obligations to commence the Project, including contractual obligations to expend not less than $100,000 for architectural or engineering services, land acquisition, site development or construction materials. 4. After entering into such contractual obligations, work on the Project will proceed with due diligence to completion. The County estimates that the extensions, improvements, enlargements and additions comprising the Project will be completed by not later than August 1, 1976. 5. An amount equal to the proceeds of the Bonds will be expended on the Project in not more than three years from the date of issue of the Bonds. 6. The County hereby covenants with the holders from time to time of the Bonds as hereinafter set forth in this section. No use of the proceeds of the Bonds shall be made which, if such use had been reasonably expected on the date of issue of the Bonds, would have caused the Bonds to be "arbitrage bonds", within the meaning of Section 103(d)(2) of the U. S. Internal Revenue Code of 1954. The County shall comply with the requirements of said section of said Internal Revenue Code and the applicable regulations of the Internal Revenue Service adopted thereunder so long as any Bond is outstanding." On the basis of the foregoing facts, estimates and circumstances in existence an the date hereof it is not expected that the proceeds of the Bonds will be used in a manner that would cause the Bonds to be arbitrage bonds under Section 103(d) of the Internal Revenue Code and the proposed regulations prescribed under that Section. To the best of our knowledge and be there are no other facts estimates or circumstances which would materially change such expectations.
