ARBITRAGE CERTIFICATE
We, the undersigned, hereby certify as follows:
1. This certificate is issued with respect to the $18,000,000
General Obligation Sewer Bonds (the "Bonds") y
Virginia (the "County"), sold on June 26, 19 b. This Certeficatee shall con-
stitute and be a document related to the Bonds.
2. The principal proceeds of the Bonds will be used to pay the costs
of extending, improving, enlarging and adding to the existing sewer system
and sewage disposal plants of the County (such extensions, improvements,
enlargements and additions being hereinafter referred to as the "Project").
3. The County has entered into, or will enter into within six (6)
months of the date of issue of the Bonds, binding contractual obligations to
commence the Project, including contractual obligations to expend not less
than $100,000 for architectural or engineering services, land acquisition,
site development or construction materials.
4. After entering into such contractual obligations, work on the
Project will proceed with due diligence to completion. The County estimates
that the extensions, improvements, enlargements and additions comprising the
Project will be completed by not later than August 1, 1976.
5. An amount equal to the proceeds of the Bonds will be expended on
the Project in not more than three years from the date of issue of the Bonds.
6. TheProject has not been and is not expected during the life of
the Bonds to be, sold or otherwise disposed of for consideration. The pro-
ceeds of the sale of any portion of the Project which might be so disposed of
by reason of obsolescence, normal wear and tear, etc. shall not be accumu-
lated but shall be used and applied as are other revenues of the County.
7. No reserve or replacement fund will be established from the pro-
ceeds of the Bonds.
8. The County has covenanted with the purchasers and holders of the
Bonds by resolution of the Board of Supervisors adopted June 13, 1973, as'
follows:
"SECTION 4. The County hereby covenants with the holders from
time to time of the Bonds as hereinafter set forth in this section.
No use of the proceeds of the Bonds shall be made which, if such
use had been reasonably expected on the date of issue of the Bonds,
would have caused the Bonds to be "arbitrage bonds", within the
meaning of Section 103(d)(2) of the U. S. Internal Revenue Code of
1954. The County shall comply with the requirements of said section
of said Internal Revenue Code and the applicable regulations of the
Internal Revenue Service adopted thereunder so long as any Bond is
outstanding."
On the basis of the foregoing facts, estimates and circumstances in
existence an the date hereof it is not expected that the proceeds of the
Bonds will be used in a manner that would cause the Bonds to be arbitrage
bonds under Section 103(d) of the Internal Revenue Code and the proposed
regulations prescribed under that Section. To the best of our knowledge and
be there are no other facts estimates or circumstances which would
materially change such expectations.
Dated the first day of August, 1973, the same being the date of
delivery of and payment for the Bonds.

at the option of said County, on and after August 1, 1983, in whole
at any time, or in part from time to time on any interest payment
date in the inverse order of their maturities and by lot within a

bonds recite that they are issued for the purpose of improving, ex-
tending, enlarging and adding to the existing sewer system and sewage
disposal plants of Chesterfield County, pursuant to and in full com-
pliance with the Constitution and statutes of Virginia, including
Chapter 5 of Title 15.1 of the Code of Virginia 1950, as amended an
election duly held under said Chapter in said County on Mav 1, 1473,
an order of the Circuit Court of the County entered on May 30, 1973,
and resolutions and proceedings of the Board of Supervisors of
Chesterfield County duly had and adopted on June 13, 1973 and on
June 26, 1973, We have examined the Constitution and statutes of
the Commonwealth of Virginia and certified copies of proceedings of
the Board of Supervisors of Chesterfield County, Virginia, authorizing
the issuance of said bonds, also an executed bond of said issue.
In our opinion said bonds have been authorized and issued
in accordance with the Constitution and statutes of the Commonwealth

Chesterfield County, Virginia, and Chesterfield County has power and
is obligated to levy ad valorem taxes for the payment of said bonds
and the interest thereon upon all property within said County, sub-
ject to taxation by said County, without limitation of rate or amount.
It is also our opinion that the interest on said bonds is
exempt from taxation by the United States of America under existing
law.

We enclose herewith documents relating to the closing in
the matter of the above bonds. These documents must be executed by
officials in Chesterfield.who may not be present in New York for the
closing. All of these documents, with the exception of the letter of
instruction listed in paragraph 5 hereof, should be brought to New
York for the closing by hand in order to be sure they arrive safely.
The letter of instruction listed in paragraph 5 should be mailed to
the addressee indicated thereon as soon as possible. The enclosures
are as follows;
1. Six (6) copies of the Signature gud the Non -litigation
Certificate. Each copy of the Certificate should be.executed by the
Chairman and the Clerk of the Board of Supervisors of Chesterfield
County and the seal of the Board of Supervisors impressed thereon.
The signatures should then be guaranteed by the local bank. All
the dates in the Certificate should be left blank and completed at
the closing.
2. Six (6) copies of the Treasurer's Receipt evidencing
payment for the above bonds. The receipt represents an acknowledge-
ment for the total purchase price and so includes the good faith
check. The receipt should be executed by the County Treasurer.
Since we have scheduled delivery for August 1, 1973, there will be
no accrued interest. However, the line for accrued interest and
the total should be left blank and be completed at the closing.
Oliver D. Rudy, Esc. -2-
In the event we are unable to close on August 1, 1973 due to some
unexpected occurrence this precaution will enable us to use the
receipt at,.a later date. The date in the receipt should be left
blank as well and completed at the closing.
3. Three (3) copies of the form of the Arbitrage
Certificate. The Certificate should be executed by the Chairman
of the Board of Supervisors and the Executive Secretary of the

You will note that the Certificate is dated August 1, 1973. The
Arbitrage Certificate should be examined carefully prior to execu-
tion to verify that the statements therein are accurate. If you
have any questions concerning the Certificate please call us and
if necessary we will work out other language.
4. Three (3) copies of the form of Opinion of the Common-
wealth's Attorney with respect to the Arbitrage Certificate. If you
find the Opinion satisfactory you should execute the same and attach
it to the Arbitrage Certificate. It is also dated August 1, 1973.
S. One (1) copy of the form of the letter of instructions
to The Chase Manhattan Bank (National Association) regarding the
disposition of the proceeds of the bonds. The figure representing
the balance of the purchase price a sumer an August 1, 1973 closing,
so no accrued interest will be due the County. Accordingly, the
balance of the purchase price represents the principal of the bonds
plus the premium and less the good faith check. The purchasers will
pay for the bonds with New York Clearing House Funds which will be
available in Chesterfield County the day following the closing. The
investment of the proceeds should take this fact into account. We
suggest that at least four copies of the letter of instructions be
typed on the letterhead of the County Treasurer and executed by him.
The acknowledgment under his signature need only be typed on the
three copies of the letter and not the original.
6. Ten (10) copies of a Schedule which may be used as an
attachment to the aforesaid letter of instructions. You will note
that such a schedule is referred to in the text of the letter.
