The Commission fosters and facilitates dialogue on cultural issues facing Chesterfield County; articulates cultural concerns, issues, and aspirations, and recommends practical, consensual policies to address them. The Commission promotes cross-cultural communications that will enhance the development and implementation of strategies and programs that foster understanding, and provides an annual report to the Board of Supervisors and County Administrator on their findings and recommendations. Specifically, the Commission fosters community dialogues and multicultural events; provides a public forum for discussion of issues that affect Chesterfield County's multicultural communities; which also promotes cross-cultural communication. To accomplish the Commission's prescribed charge, it developed a clear vision, mission and goals. MULTICULTURAL ADVISORY COMMISSION'S MISSION, VISION AND GOALS The MISSION of Chesterfield County's Multicultural Advisory Commission is to advise the Board of Supervisors, County Administrator and the greater community on 1) concerns, interests, and issues of the diverse cultural communities in Chesterfield County and 2) make recommendations for workable solutions to shape policies and practices that impact the well-being of various cultural communities as well as the larger Chesterfield County Community. The VISION of the Multicultural Advisory Commission is that Chesterfield County is committed to being aworld-class welcoming community that sees its diversity as its greatest strength and attract and retains people of all cultures, backgrounds and identities through its services, policies and programs. The GOALS of the Multicultural Advisory Commission are as follows: 1. To establish a structured process to continuously identify the concerns, interests and issues of defined cultural communities in Chesterfield County. Objectives: • Create an agreed upon structure for the operation of the Commission and subcommittees to establish tasks 2 • Refine the issues facing each ethnic and racial group within the County and identify common areas to begin to address needs • Evaluate the available demographic, socio-economic, cultural and educational data on the ethnic and racial groups existing within the County • Develop existing services matrix and identify gaps 2. To foster and promote cultural understanding, communication, acceptance, and inclusiveness within and among diverse groups and the larger community. Objective: • Establish a mechanism to address identified gaps, open lines of communication and increase interaction between communities to enhance input on common issues. DEMOGRAPHIC CHANGES IN CHESTERFIELD COUNTY 2000-2007 From 2000 to 2007 there was an unprecedented change in race/ ethnicity for Chesterfield County. Data from the 2000 Census and the 2007 American Community Survey indicates the following percentage of the total population for the various groups for this period. The largest Hispanic groups were: Mexican and Puerto Rican and these grew by about 50%. In fact the largest percent of growth by race were in the following groups: Some other race (58%), Hispanic (53%) and Asian (46%). The Commission learned in order to increase their capacity to serve the community; they had to increase understanding and trust within the commission group and to accept that words and actions, even in the same language, mean different things to different people. Education and knowledge of the various cultures were critical for the Commission to begin determining and addressing multicultural issues in Chesterfield County. The Commission was also faced with the loss of two critical Commissioners. The following objectives were met during the 2009 year: 1) The identification of nine distinct ethnic communities in Chesterfield County and eight subgroups 2) Development of a communication's plan to reach each of the nine (9) groups in their language and English 3) Development of a process for soliciting input and recommendations from the various communities dubbed the Community Awareness Project. 4) Initial development of an interactive website to disseminate information to diverse communities and to respond to their inquiries 5) Identified 45 community leaders and point of contacts to establish collaborative interactions and dialogues on key county issues. 6) Established collaboration with the newly created Chesterfield County Public Schools Multicultural Committee to coordinate activities and share information. 7) Initiated conversations and discussions with foundations and corporations that produced partners willing to support and work with the Commission to understand the issues and concerns of the different ethnic communities in the areas of public safety, affordable housing, transportation, and business/workforce. 8) Invited by two corporate partners to meet and work with their respective "Diversity Councils" addressing their workforce and business expansion needs. 9) Chair Lee Brazzell and staff Russell Harris were invited to Arlington to participate in The National Forum on "Emerging Issues in Diversity and Inclusion". 10) $42,000 has been secured from foundations and corporations to execute the mission and goals of the Commission through the Community Assessment Project. 11) The Commission is represented on the County's 2010 Census Complete Count Committee to assist in assuring that all cultures are informed of the importance of participating in the Census for the County. RECOMMENDATIONS With the first goal of the Multicultural Advisory Commission firmly in mind, the recommendation of this Commission is to conduct a Community Awareness Project as follows: 5 Community Assessment Overview The Chesterfield County Multicultural Advisory Commission appreciates the richness that a diverse citizenry brings to the quality of life for all of residents of the County. It also recognizes that delivering on the promise of providing a community that fosters and promotes inclusiveness for all citizens means a better understanding of the concerns, interests and needs of the County's (and regional) culturally diverse communities. For this reason the Commission plans to conduct a community assessment and the purpose of the assessment will be to: • Uncover the varying needs and gaps in services experienced by the culturally distinct communities in Chesterfield County; • Identify existing resources within the County to meet those needs; • Communicate to diverse communities that the County is interested in their feedback and invested in creating a First Choice community for all residents; and • To lay the groundwork for community dialogues that will foster cultural understanding and promote community engagement across cultural groups. Methodology • The Commission will partner with an organization, with expertise, in conducting assessments in culturally diverse communities. • Data will be gathered to assess the concerns, needs and experiences of communities through the use of focus groups distinct to each identified community working collaborative with formal/informal community leaders and points of contacts. • The information collected through the focus groups will be analyzed, reported and used as a starting point for identifying key indicators. • The resulting report from the focus groups will highlight: 1) Key themes and shared experiences within each community; 2) Similar and distinct experiences across communities; 3) solutions, strategies and resources identified by participants for addressing their concerns; and, 4) Recommendations for questions and themes to discuss in the "World Cafe" phase of this project. • Identify existing sources of data collected at the international, Federal, state and local levels and using these sources to benchmark against the data gathered in Chesterfield County's communities. • Follow-up with convening six "World Cafe" sessions wherein all distinct communities would be represented and encourage to actively participate in small dialogue groups to gather new data and verify data collected. Outcome • Produce a summary report that outlines the key indicators, the source for each and their relationship to the information uncovered, as well as reviewing and comparing the County's current standing against international, national, state and 6 comparable county data. Recommendations will be presented for addressing concerns, resolving issues and for tracking the key indicators over time. • Report to be shared and distributed to Chesterfield County leadership, educational leaders, surrounding localities, regional partners, business and civic leaders and within the Cultural communities themselves. • An initiation of a better understanding of the distinct cultural communities with the opportunity for enhanced dialogues among and between the various cultural neighborhoods in the County and region. • An annual "World Cafe" event which would keep the issues, concerns, involvement, communications and ongoing search for resolutions active and alive within the County and region. Cost Estimate Preliminary estimations of the cost for this project to include data collections through focus groups and "World Cafe" dialogues, qualitative analysis, development of focus group outcome report and final summary report is $75,000. To date, the Commission has garnered the financial support of the Community Foundation, DuPont, Verizon Foundation, Virginia Dominion Power, SunTrust Bank and Virginia State University totaling $42,000. Also, we are in the process of scheduling meetings with The Cameron Foundation, Ukrop's and HCA. Community Assessment Timeline 1. December 2009 -finalize timeframe, focus groups, and preliminary identification of volunteer organizations to assist 2. January 2010 -Frame out the logistics of the project 3. February & March 2010 -Conduct Focus groups 4. Apri12010 -Conduct assessment of findings and produce preliminary report 5. May 2010 -prepare for world cafe using results of focus groups 6. June & July 2010 -Conduct "Market Cafe" Dialogues 7. August & September 2010 -Gather and review data, develop draft report 8. October & November 2010 -Develop final report 9. December 2010 -Present report to Board of Supervisors and County Administrator SUMMARY With the growth of new and established cultural groups in Chesterfield County, this is a pivotal time for the County to set the standard for collecting and analyzing data, identifying needs, issues and concerns and then determining the best direction for assisting these groups. Through the Community Assessment Project, the County will become the regional, state and perhaps national trend setter in interacting with citizens from diverse cultural backgrounds and experiences. This project presents the County, as a government interested in and paying attention to their citizens concerns. In other words, Chesterfield cares about its citizens. In fact, the Commission believes that their efforts will produce useful data, not just for our County, but for other localities and the business community 7 in the areas of affordable housing, transportation, public safety, workforce/employment and education. With financial support and pledges of assistance from our corporate and foundation partners, the cost will be minimal and the progressive reputation of Chesterfield County will only be enhanced. Subject: Nomination/Appointment to the Towing Advisory Board County Administrator's Comments: County Administrator: Nominate/appoint member to serve on the Towing Advisory Board Summary of Information: The members of the Towing Advisory Board serve at the pleasure of the Board and have no set term limits. In accordance with the Code of Virginia §46.2- 1217 adopted as County Ordinance, 1997, the Towing Advisory Board shall include representatives of local law enforcement, towing and recovery operators, and the general public. Colonel Dupuis has recommended that the Board nominate and appoint Lieutenant John Ashworth to replace Lieutenant Clint Schott on the Towing Advisory Board. Lt. Ashworth meets all eligibility requirements to fill the vacancy and has indicated his willingness to serve. Under the existing Rules of Procedure, appointments to boards and committees are nominated at one meeting and appointed at the subsequent meeting unless the Rules of Procedures are suspended by a unanimous vote of the Board members present. Summary of Information: The American Recovery and Reinvestment Act of 2009 ("ARRA") created Recovery Zone Economic Development Bonds and Recovery Zone Facility Bonds (together, "Recovery Zone Bonds"), which lower the costs of borrowing for both public and private projects by providing a federal payment subsidy for up to 45~ of the interest. The Recovery Zone Bonds are intended to promote job creation and economic recovery in areas designated as "Recovery Zones." Under the ARRA, the County may designate the location of the Recovery Zone in an area that has experienced significant unemployment, home foreclosures, or general distress. Given the economic distress, especially unemployment, experienced County-wide, staff recommends that the Board adopt the attached resolution which declares the entire County as a Recovery Zone under the ARRA. Staff recommends that the Recovery Zone Economic Development Bond allocation of $9,998,000 be used to finance a portion of the I-295/Meadowville Road Interchange Construction Project. The construction of an interchange on 2- 295 at Meadowville Road is on the Board's priority list of highway improvements. Approximately $8.7 million in project funding has been identified thus far: $3.7 million in Federal funding and $5.0 million in Transportation Partnership Opportunity Funds (TPOF) from the State. The county is also actively pursuing additional Federal funds for the project. Net of the results of those efforts, the remainder of necessary funding will come from local debt financing backed by Business, Professional, and Occupational License (BPOL) revenues. Please note that the issuance of Recovery Zone Economic Development Bonds for the Meadowville project is contingent on the execution of a VDOT/County Project Agreement for the state financing component of the interchange. To date an agreement has not been reached. Staff recommends that the Recovery Zone Facility Bond allocation of $14,998,000 be used to finance a portion of the 250-acre SportsQuest complex in Waterford at Powhite Parkway and 288. The complex will have a total capital investment (all phases) of approximately $250 million and would create 500 jobs. A total of 27 Olympic and amateur sports will be represented on the campus, which includes a field house, velodrome and inline track, championship level sports fields (24 in all - 15 synthetic & 12 natural turf), an ice-plex, an aquatics center, sports medicine and sports science center, corporate offices, retail, restaurants, fitness center, an arena and a family entertainment center. (a) The Board of Supervisors hereby finds and determines as follows: (i) Section 1400U-1 of the 1986 Code provides for a national limitation of $10,000,000,000 for "recovery zone economic development bonds" issued under Section 1400U-2 of the 1986 Code and a national limitation of $15,000,000,000 for "recovery zone facility bonds" issued under Section 1400U-3 of the 1986 Code. (iii) (A) The proceeds of an issue of "recovery zone economic development bonds", over the amounts in a reasonably required reserve with respect to such issue, are to be used for one or more "qualified economic development purposes". (B) The term "qualified economic development purpose" is defined in Section 1400U-2(c) of the 1986 Code to mean expenditures for purposes of promoting development or other economic activity in a recovery zone, including (1) capital expenditures paid or incurred with respect to property located in such zone, (2) expenditures for public infrastructure and construction of public facilities, and (3) expenditures for job training and educational purposes. (iv) (A) In the case of an issue of "recovery zone facility bonds", ninety- five percent or more of the net proceeds of such issue must be used for recovery zone property. (B) The term "recovery zone property" is defined in Section 1400U-3(c)(1) of the 1986 Code to mean any property to which Section 168 of the 1986 Code applies (or would apply but for Section 179 of the 1986 Code) if (1) such property was constructed, reconstructed, renovated or acquired by purchase (as defined in Section 179(d)(2) of the 1986 Code) by the taxpayer after the date on which the designation of the recovery zone took effect, (2) the original use of which in the recovery zone commences with the taxpayer, and (3) substantially all of the use of which is in the recovery zone and is in the active conduct of a qualified business by the taxpayer in such zone. (C) The term "qualified business" is defined in Section 1400U-3(c)(2) of the 1986 Code to mean any trade or business except that (1) the rental to others of real property located in a recovery zone shall be treated as a qualified business only if the property is not residential real property, and (2) such term shall not include any trade or business consisting of the operation of any facility described in Section 144(c)(6)(B) of the 1986 Code, i. e., any private or commercial golf course, country club, massage parlor, hot tub facility, suntan facility, racetrack or other facility used for gambling, or any store the principal business of which is the sale of alcoholic beverages for consumption off premises. (b) Based on the findings and determinations set for in Section 2(a) hereof, the Board of Supervisors (1) designates the bonds to be issued to finance the costs of the acquisition and construction of an interchange with Interstate I-295, together with related infrastructure improvements, adjacent to and interconnected with the Meadowville Technology Parkas "recovery zone economic development bonds" for purposes of Section 1400U-2 of the 1986 Code, and (2) designates the bonds to be issued to finance the costs of the acquisition and construction of the 250-acre SportsQuest complex in Waterford at Powhite Parkway and Route 288 as "recovery zone facility bonds" for purposes of Section 1400U-3 of the 1986 Code. ~®~Q`~.~ 572554.2 033038 RES -3- SECTION 3. (c) The Executive Order requires the filing of a Project Verification Report with respect to each project to be financed from the proceeds of recovery zone economic development bonds and recovery zone facility bonds with the Re-allocation Director by December 15, 2009, such Project Verification Reports to contain the information specified by the Executive Order. (d) The County Administrator, any Deputy County Administrator, the Director of Budget and Management and other County officials are hereby authorized to file Project Verification Reports with respect to the projects identified in Section 2(b)(1) and (2) hereof, such Project Verification Reports to be filed with the Re-allocation Director on or before December 15, 2009. Summary of Information: The School Board approved its FY2010 financial plan on March 3, 2009. Since that time, there have been several changes in revenues and expenditures. Actual student membership on September 30, 2009 was 58,926 or 196 students greater than projected and results in additional state aid. At the same time, the Governor instituted his executive spending reduction plan to meet the FY2010 state budget revenue shortfall. School FY2009 expenditure savings were reserved in the general fund prior to year end for these purchases that were in process. COPS is requesting the Board of Supervisors to transfer $177,410 to the COPS operating fund to cover these expenditures. The School Board has received notification of the receipt of $273,700 in gain sharing revenues from Anthem and requests they be appropriated for wellness activities. Schools experienced lower rates for health and dental insurance premiums than budgeted resulting in a savings of $1,247,400. Gain sharing funds received from Anthem are requested to be used to fund a number of wellness activities in the amount of $293,000. To meet state requirements for school nurse support funded in basic aid, a nurse position is requested to be added at an approximate cost of $70, 000 for salary and benefits. The county recommends transferring a position from Social Services to the Health Department to accommodate this need. Schools would reimburse the county for the cost of the health nurse expenditures. COPS is experiencing a significantly higher than normal rate of unemployment insurance claims. Although COPS was fortunate to have a low reduction in force at the end of FY2009, some employees who left Chesterfield for other employment have now become unemployed and are permitted to claim a portion of their benefits from CCPS. Based on first quarter projections, Schools are projecting an additional unemployment insurance cost of $300,000 through the remainder of the fiscal year. Additionally, $177,410 to cover purchases described above is also requested. Appropriation categories are requested to be adjusted as stated above to reflect these revenue and expenditure changes. Adjustments are requested as follows: reduce instruction expenditure by $1,209,470, increase Admin/Attend/Health by $494,600, increase Operations & Maintenance by $125,000, and increase Technology by $589,870. All of these adjustments result in no change to the total expenditures. Finally, Chesterfield County is the fiscal agent for the Appomattox Regional Governor's School. Pettitt RESOLUTION WHEREAS, state revenue for FY2010 is projected to be $858,100 less than budgeted due to actual September 30, 2009 membership exceeding the projection by 196 students; and WHEREAS, this results in an increase in funding that is more than offset by reductions included in Governor Kaine's executive spending reduction plan; and, WHEREAS, the system has received $273,700 in gain sharing from Anthem based on lower than projected health care claims; and WHEREAS, there is a need to budget additional funds to cover anticipated unemployment claims, a nurse position and to provide for wellness activities; and WHEREAS, a correcting appropriation transfer from Instruction to Technology is required to accurately report Technology costs; and WHEREAS, the School Board needs to request a transfer of funds reserved at FY2009 year-end on behalf of the School Board to cover FY2009 expenses; and WHEREAS, there is a need to decrease the appropriation for the Appomattox Regional Governor's School to reflect a lower tuition rate partially offset by an increase in the total number of students; NOW, THEREFORE, BE IT RESOLVED, that on motion of Mrs. Pettitt, seconded by Mr. Wyman, the School Board hereby requests the Board of Supervisors to (1) increase the technology appropriation category by $589,870, the administration/attendance and health appropriation category by $494,600, and the operations & maintenance appropriation category by $125,000; 2) decrease the Instruction appropriation category by $1,209,470; 3) request a transfer of $177,410 from the county's general fund reserves to the School Board's Operating Fund to cover FY2009 expenses; and (4) decrease the appropriation to the Appomattox Regional Governor's School by $65,630. Summary of Information: Chesterfield County Environmental Engineering Department and Building Inspection Department have been asked by Prince George County to assist it in providing plan review and inspection services for the Rolls Royce plant in Prince George County. Building Inspection will be providing review and inspection services for all structures. Subject: Set Public Hearing on Proposed Adjustment to Planning Department Special Exception Fee for Private Kennels County Administrator's Comments: County Administrator: Board Action Requested: Set a January 13, 2010 public hearing on a proposed adjustment to the Planning Department Special Exception fee for private kennels. Special Exception requests are considered by the Board of Zoning Appeals. Summary of Information: The Zoning Ordinance defines a private kennel as "a place where three or more dogs, more than four months old, are kept for private use." The Board of Zoning Appeals is responsible for granting Special Exceptions to allow private kennels. The Planning Department's current fee for Special Exceptions is $1,000. As shown in Attachment A, the Board directed that staff advertise a reduction in the fee amount for private kennels to $100. Staff recommends the Board consider reducing the fee to $250 to recapture costs associated with advertising and processing these types of applications. A Special Exception for a private kennel is not required for the keeping of three or more dogs on agriculturally zoned property. At your July 22, 2009 meeting, the Board of Supervisors directed the Planning Commission to consider this proposed adjustment to the Planning Department Special Exception fee for private kennels, and return a recommendation to the Preparers Kirkland A. He cited the strong personal attachment he and his wife had for the animals but noted that could not afford the $1,000 application fee required to seek an exception before the Board of Zoning Appeals. At their November 17 meeting, the Planning Commission recommended denial of the proposed adjustment, as they are considering a proposal which would require a Conditional Use for the keeping of three to nine dogs for private use. Kaine During our most recent fiscal year (Oct. 1, 2008 to Sept. 30, 2009), the Richmond SPCA: • Saved the lives of about 3,000 homeless animals through programs of adoption. • Helped keep more than 2,000 pets out of shelters through our programs of pet-retention (free behavior helpline, pet pantry, temporary low-cost offsite boarding, affordable wellness clinics, re-homing assistance and more • Rehabilitated 2,000 sick and injured pets. • Spayed or neutered 14,357 animals in our on-site clinic at no or low cost to the owner. • Delivered more than 17,044 hours of humane education to area school children and 11,300 hours of adult education and training. As of September 30, 2008, the Richmond SPCA has unrestricted financial reserves of $23,436,781, or about 4.9 times its most recent annual expenses, which totaled $4,785,888. Subject: Public Hearing to Consider a Lease-Purchase Agreement with Chesterfield Alternatives, Inc. for a Build-A-House Project Located on Property Adjacent to Meadowbrook High School County Administrator's Comments: County Administrator: The Board is requested to hold a public hearing to consider a lease-purchase agreement with Chesterfield Alternatives, Inc. for a Build-A-House Project to be located on property adjacent to Meadowbrook High School. Summary of Information: The Build-A-House Project is a cooperative project through which students at the Chesterfield Technical Center construct a house on vacant County-owned land with Chesterfield Alternatives funding the construction expenses and the house ultimately being used by the Chesterfield Community Services Board to provide services to its elderly or disabled consumers. Last year, the Board initiated the Build-A-House project with property located at 19300 Church Road in the Matoaca District. Construction of that home is expected to be completed in June 2010. A current photograph of that house is attached. The location proposed for the new home is a 1.241 acre unimproved parcel owned by the County adjacent to Meadowbrook High School in the Dale District (the "Property"). The current value of the Property is $34,000. For over twenty years, Chesterfield Alternatives has bought or leased houses which the Community Services Board operates as adult group homes. Pursuant to the lease-purchase agreement, the county would lease the Property to Chesterfield Alternatives, Inc. during the construction period and provide Chesterfield Alternatives an opportunity to purchase the property when construction is completed. The house to be constructed is a four bedroom, two and a half bath home of approximately 2,300 square feet substantially similar in plans and quality of materials to the first Build-A-House project at 19300 Church Road. The execution of the lease-purchase agreement will facilitate Chesterfield Alternatives' obtaining financing for the project. The lease-purchase agreement does not require Chesterfield Alternatives to make payments to the County, but instead requires Chesterfield Alternatives to make a financial investment in the project through funding the construction expenses. The construction expenses are estimated to be as much as $234,606. After the home is constructed, Chesterfield Alternatives will be able to purchase the Property from the county for a nominal amount. The deed transferring the Property will prevent Chesterfield Alternatives from reconveying the Property without the approval of the county and will require that the Property be used to provide services to consumers of the Community Services Board. The Community Services Board intends to lease the house to operate an adult group home. Technical Center students are available to begin construction activities as soon as practicable. ~~~~~~ CHESTERFIELD COUNTY BOARD OF SUPERVISORS AGENDA Page 3 of 3 Budget and Management Comments: The purpose of this public hearing is to consider approval of a lease- purchase agreement with Chesterfield Alternatives, Inc. (CAI) for a Build-A- House Project located on property adjacent to Meadowbrook High School. With the approval of this lease-purchase agreement, the county would allow CAI to build an adult group home on county owned property. CAI would pay for the construction costs and the labor would be provided by students from the Technical Center. After the home is constructed, the county would allow CAI to purchase the property for a nominal amount. The adults who would move into this house are currently residents of one of the Community Services Board's (CSB) group homes, so the building of this new home would not increase the services of the CSB. However, the costs for providing these services would decrease with the opening of the new home, as the current group home is a rental property for which the CSB is paying $1600 per month and the new rent is expected to be about $200 per month lower. Furthermore, the new home would be far more energy efficient than the current home saving money in heating and cooling costs, and CAI would pay for all the maintenance expenses. Staffing costs would remain the same. Building this house would also improve the living environment of the group home's residents. The new home will be built taking the special needs of the residents into account, whereas the current home these consumers inhabit is less accessible. This lease agreement and partnership does not require county funds to be used for the construction of the building. Although adult group homes continue to be a high priority for the CSB, should funding not be available for the continued operation of this home, CAI would be able to sell this property with approval from the county. Carmody Title: Director, Budget and Management Q®©~~'~ 19300 Church Road Build-A-House QO~~~~ LEASE AND PURCHASE AGREEMENT THIS LEASE AND PURCHASE AGREEMENT, dated DECEMBER , 2009, by and between THE COUNTY OF CHESTERFIELD, VIRGINIA, a political subdivision of the Commonwealth of Virginia (LESSOR) and CHESTERFIELD ALTERNATIVES, INC., a Virginia non-stock corporation (LESSEE). WITNESSETH: WHEREAS, LESSOR is the owner of certain real property located in DALE District, Chesterfield County, Virginia, 1.241 acres of unimproved land located on Coghill Road adjacent to Meadowbrook High School, in the County of Chesterfield, Virginia (the "Property" shown and described on Exhibit A); and WHEREAS, LESSEE is anot-for-profit corporation that was incorporated in 1986 to complement the programs of the Chesterfield Community Services Board; and WHEREAS, for twenty years, LESSEE has bought or leased houses in the County which it then leases to the Chesterfield Community Services Board ("CSB") to use as adult group homes for elderly and/or disabled consumers of the CSB; and WHEREAS, LESSEE is partnering with the Chesterfield County School Board to provide home construction experience and training for Chesterfield County students engaged in vocational training at the Chesterfield Technical Center (the "Technical Center"); and WHEREAS, LESSEE is willing to provide funding for building materials, plans and services for the construction of a house which would be built by students as part of their curriculum through the Technical Center and under the supervision of teachers and staff of the Technical Center; and ~~®~~~ 2723:82303.1 1 WHEREAS, LESSEE desires to lease from LESSOR the Property for the purpose of permitting the Technical Center vocational students to construct a house which would thereafter be leased to the CSB to provide services to consumers of the CSB; and WHEREAS, in consideration for its financial contributions in the construction of the house, LESSOR would, after completion of the construction of the house, transfer ownership of the Property and its improvements to LESSEE for a nominal purchase price and subject to the restriction that the LESSEE continue to make it available to the CSB for use by its consumers; and WHEREAS, at a regular meeting of the Board of Supervisors held on December 2, 2009, a resolution was duly adopted approving this Agreement. NOW THEREFORE, for and in consideration of the mutual promises, covenants and conditions set forth herein, the sufficiency and receipt of which is hereby acknowledged, the parties hereto agree as follows: 1. Property. LESSOR hereby leases to LESSEE, for the consideration of one ($1.00) dollar annually, the Property located in Chesterfield County, Virginia, as more particularly shown and described in Exhibit A. 2. Term. The term of this lease shall commence on December 2, 2009 and continue for ten (10) years or until the fee simple interest in the Property is transferred to the LESSEE as provided for herein. 3. Improvements. All Improvements constructed on the Property shall be at LESSEE'S sole cost and expense. LESSEE shall construct a four bedroom, two and a half bath house of approximately 2,300 square feet using substantially the same plans and quality of materials as used at the Build-A-House home constructed at 19300 Church ~~~~~~ 2723:82303.1 2 Road. LESSEE must obtain and maintain all certificates, permits, licenses and other approvals required by any federal, state or local authority for construction and use of the proposed Improvements and construct the Improvements in accordance with all laws, regulations, ordinances or codes of applicable federal, state and local authorities. All material furnished by the LESSEE for the construction of the Improvements shall become the property of the LESSOR. 4. Testing. LESSEE shall have the right to perform and obtain, at its sole cost and expense, soil borings, percolation tests, engineering procedures, environmental investigation or other tests or reports on, over and under the Property 5. Assignment. LESSEE shall not assign this lease or sublet the Property or any portion thereof without prior written approval of LESSOR. 6. Right of Entry. LESSOR shall have the right to enter upon the property at any time for the purpose of making inspections and to ensure compliance with the terms of this Lease. 7. Indemnification. LESSEE agrees to hold harmless and indemnify the LESSOR from any and all losses, expenses or damages of every kind, nature or description arising under or related in any way to this Lease or any work pursuant to it. 8. Insurance. LESSEE shall maintain workers' compensation insurance in the statutorily required amount which insures its employees, agents, contractors and subcontractors from workers' compensation claims. LESSEE shall also maintain general liability insurance in an amount acceptable to the LESSOR'S Risk Manager during the term of this Lease and any renewals. LESSEE shall furnish the LESSOR a certificate of such insurance with a company acceptable to the LESSOR, which certificate shall ~~~~~~ 2723:82303.1 3 designate the LESSOR as additional insured and require the insurer to provide the LESSOR with thirty (30) days advance written notice in the event of any change, non- renewal or cancellation of the insurance. 9. Third Parties. LESSEE shall require its contractors and subcontractors to carry workers' compensation insurance and adequate liability insurance in conformity with the minimum requirements listed above. 10. Risk of Loss; Limitation of Liability. Notwithstanding anything herein to the contrary, LESSEE shall bear the risk of loss of or damage to the Improvements during construction and the term of this Lease. Notwithstanding anything herein to the contrary, LESSOR shall not be liable for any consequential or incidental damages incurred by LESSEE due to any malfunction, vandalism, acts of God (including, without limitation, lightning, wind, rain, hail, fire or storms) or any other damage resulting from any reason. In no event shall the leasehold or other interest created hereby be specifically enforceable and in no event shall either party be responsible to the other for any consequential, special or incidental damages. 11. Default. If LESSEE defaults on any term of this Lease and fails to correct the default within thirty (30) days of the LESSOR'S written notice to LESSEE, this Agreement shall be terminated. The LESSOR may pursue any and all legal remedies to recover any damage, loss, cost or exposure sustained by it as a result of the default or the termination of this Lease. 12. Liens. LESSEE shall keep the Property and the Improvements free from any liens arising from any work performed, materials furnished or obligations incurred by or at the request of LESSEE. All persons either contracting with LESSEE or furnishing ~~~~~~ 2723:82303.1 4 or rendering labor and materials to LESSEE shall be notified in writing by LESSEE that they must look only to LESSEE for payment for any labor or materials. If any lien is filed against LESSOR'S property or the Improvements as a result of any acts or omissions of LESSEE, its employees, agents or contractors, LESSEE shall discharge it within fifteen (15) days after LESSEE learns that the lien has been filed. 13. Purchase Option. (a) Upon completion of the construction of the Improvements on the Property, the LESSEE shall have the right to purchase the Property from LESSOR for the purchase price often ($10.00) dollars so long as LESSEE can document its investment of at least $100,000 in the construction of the Improvements on the Property. LESSEE shall exercise its purchase right through written notice to LESSOR together with submission of the documentation of its investment in the Improvements. Sale of the property pursuant to the option shall be contingent upon the approval of the Chesterfield County Board of Supervisors after a public hearing. The Board's approval may be granted, denied or conditioned at its discretion. Closing shall occur as soon as practicable after approval. (b) The deed transferring the Property to LESSEE shall be subject to two conditions subsequent with automatic rights of reversion: (i) LESSEE/GRANTEE cannot convey the Property without prior written approval of LESSOR/GRANTOR and (ii) LESSEE/GRANTEE is prohibited from discontinuing the use of the Property to provide services to the consumers of the CSB. 14. Summary of Information: The Virginia Department of Transportation (VDOT) Enhancement Program is intended to creatively integrate transportation facilities into the surrounding communities and the natural environment. No funds were allocated to projects in Chesterfield. Transportation Enhancement Projects are financed with 80% VDOT funds and a minimum 20% local match. The local match is usually provided from county funds, from other sources, and/or by in-kind contributions. VDOT staff will evaluate project applications and make a recommendation to the Commonwealth Transportation Board for inclusion in the FY2011-FY2016 Virginia Transportation Six-Year Improvement Program. The Appomattox Riverfront Trail-VSU Segment, Phase I ($175,000) is recommended to be submitted for the FY2011 Enhancement Program. Previously, $200,000 in Enhancement funds was awarded to this project. An additional $175,000 is needed to complete Phase I. Phase I will complete a parking area and 1500' of the 1.25 mile long VSU Segment trail. The VSU Segment is part of the ultimate 6-mile long Appomattox Riverfront Trail. The Board is requested to confirm support for the Appomattox Riverfront Trail-VSU Segment, Phase I Project by adopting a resolution of support, which guarantees the county will provide the local match. If approved and funded by VDOT, Parks and Recreation will transfer the required match, unless provided by in-kind contributions. The amount for the local match is $35,000. Upon approval by VDOT, the Board is requested to authorize the appropriation of an additional $175,000 in Enhancement funds. Enhancement projects are required to have endorsement from area Metropolitan Planning Organizations (MPOs). The Tri-Cities MPO should be asked to endorse the project upon approval by the Board. Recommendation: Staff recommends the Board take the following actions: 1. Approve the Appomattox Riverfront Trail-VSU Segment, Phase I Project for the FY2011 Enhancement Project submission; 2. Adopt the attached resolution requesting VDOT approval and guaranteeing the local match for the project.
