This Agreement made this

between DAISY COSB~, widow, party of the first part, and' H.
LELAND WALTON and ' .~._2 E. FLORY, parties of the second part.
W I T N E S S E T H:
I. That the said party of the first part, her heirs,
executors, administrators and assigns in consideration of the
sum of $300.00, to her in hand paid by the said parties of the
second part, receipt of which is hereby acknowledged, as well
as in consideration of the covenants and agreements hereinafter
mentioned, does hereby give and grant to the parties of the
second part, their heirs and assigns the exc.lusive option to
purchase, at any time within seventy-five (75) days from the
date hereof, seventy (70) or more acres of land of the remaining
one hundred eleven (111) acres, more or less, of the property
shown on map of 124.96 acres of land situated in Mid!othian
District, Chesterfield County, Virginia, made by W. W. LaPrade
and Bros., dated September 14, 1928, now owned by the party of
the first part for the sum of Fifteen Hundred Dollars ($1500.00)
per acre, payable Thirty Thousand Dollars ($30,000.00) cash,
at the time of closing with remainder of said purchase money
being secured by a deferred purchase money first deed of trust
on said property securing a note for the unpaid balance payable
to the party of the first part, together with interest at the"
rate of seven per cent (7%) per annum on the unpaid balance
in equal monthly installments over a period of ten (10) years,
commencing one (1) year after the date.of settlement subject;
however, to the following conditions and provisions:
(1) The parties of the second part shall at
their own cost have the aforementioned 111 acres, more or less,
platted and subdivided.
(2) The plat of subdivision shall provide
for reasonable means of ingress and egress to all lots platted

in the entire 111 acres, more or less, with Otterdal~ Road.
(3.) Unless prohibited by governmental
authority, the name of the subdivision shall be Otterdal~_ and
one of the roads in the subdivision shall be Cosby Road.
II. In the event of the exercise of this option, the
party of the first part shall, at her cost, provide a proper
deed of bargain and sale and pay the~Virginia State grantor's
tax, and the parties of the second part agree to pay all costs
for engineering, surveying and improvement 'of the real estate
as may be necessary, examination of title, recording of deed
and deed of trust, and acquisition of such utility services
as may be required.
III. The party of the first part agrees to release
fifteen (15) acres from the lien of the deed of trust at the
time of closing, not more than five (5) of which shall front
on Otterdale Road.
IV. The seller agrees to release one (1) additional
acre to the parties of the second part upon the payment of
each Fifteen Hundred Dollars ($1500.00) on the principal
balance secured by said deed of trust, but in no event shall
said payments, together with the regular monthly payments,
exceed thirty per cent (307.) of the purchase price in any
calendar year.
V. In the event of the exercise of this option,
settlement shall be made at the office of 'William C. Farkinson,
Mutual Building, Richmond, Virginia, or at such other place
as the party of the first pa.rt, may designate in writing.
VI, The party of the first part agrees that title
to any land conveyed hereunder shall be marketable, subject
to easements .and restrictions as of record and that cg~eyance
shall be made by general warranty deed with english covenants

VII. Real estate taxes to be pro-rated at the
time of settlement.
VIII. The party of the first part agrees that in the
event this option is exercised and the sale of seventy (70)
or more acres of land is consummated to the parties of the
second part, that she will pay to W. Eugene Glenn, Inc., a
real estate commission of ten per cent (10%) of the purchase
price of the land purchased under this option.
IX. This agreement and the rights of the parties
hereto shall be interpreted in accordance with the laws of
the Gommonwealth of Virginia.
X. The foregoing represents the entire agreement
between the parties hereto.
XI. Receipt is hereby acknowledged of Three Hundred
Dollars ($300.00) paid by the parties of the second part and
in the event that this option is exercised shall be applied
to the purchase price of the land purchased pursuant to
this option.
