and between BURRELL DUDLEY, unmarried, of the City of Pittsburgh,
State of Pennsylvania, hereinafter sometimes referred to as the
"Seller" and FRALIN Ai~D WALDRON J INCORPORATED, a corporation
created and existing under the laws of the State of Virginia,
hereinafter sometimes referred to as the nBuyer";

WHEREAS, the Buyer wishes to purchase from the Seller
certain real estate situate in that County of Chesterfield and
State of Virginia being twenty-nine (29) acres, more or less,
bordering ,on Little Qreek Lane and Hopkins Road and being part
of the .land conveyed by Benj amin H. Nash, Commissioner of the

Circuit' Court of Chesterfield County, to Gilbert Dudley, by
Deed dated January 4, 1892 and recorded in said County on
November 8, 1892 i~ Deed Book 85, page 484; and
WHEREAS, the Seller is willing to sell said land to
the Buyer on appropriate terms.

IN CONSIDERATION of the premises and of the mutual
promises and agreements of the Seller and" the Buyer, each in-
tending to be legally "bound thereby, the Seller and the Buyer
do hereby promise and agree as follows:
1. The Seller hereby agrees to sell and convey to the
Buyer and the Buyer agrees to buy from the Seller all of the
above described land owned by the Seller.and which 1s situated

at the ~h\;cetcrn intersection of Little Creek Lane and Hopkins
Road.
_-2. The Buyer hereby agrees to pay the Seller the price
of SIX THOUSAND"DOL~ARS ($6,000.00) per acre in the following
manner:

ttentY-fiVe percent (25%) o~the purchase price
at the time of the delivery of the Deed in lawful money of the
United States of America, the balance of the purchase price to
be paid by the Buyer executing and delivering to the Seller a
Deed of Trust which shall be a first lien against the land des-
cribed therein in the amount of said balance of the purchase
price payable in four (~) ~qual annual installments on the
anniversary date of the Deed of Trust together with interest at
the rate of six (6) percent per annum with the privilege to the
Buyer to anticipate payment of the balance due to the"Seller in
whole or in part at anytime in amounts. of not less than Five.
Thousand Dollars ($5,000.00) and any such anticipatory payment
shall abate future interest upon the amounts so pa1~, and said
payments shall be credited to the next maturing annual installment.
3. At the time of the delivery of the Deed and the
execution and delivery of the Deed of Trust, part of the land
conveyed which shall have a. fair value of twenty (20) percent
of the selling price, taking into consideration its shape, road
frontage and acreage may be selected by the Buyer and conveyed
to the Buyer free and clear of encumbrances including said Deed
of Trust.
4. The Seller and Buyer agree that said Deed of Trust
shall provide that portions of the land covered by said Deed of
Trust shall be released from the lien thereof when de.sired and
selected by the Buyer upon payment to the ~eller of Eight Thousand
Dollars ($8,000.00) per acre or prorata for fractions of an acre,
provided however, that such plots of land so selecte~ must be
contiguous and, further provided, that road frontage released by
any instrument (which shall include that area omitted from the
purchase money peed of Trust) shall bear this same ratio' to the
area so released as the total road frontage bears to this total
area of the tract sold.

5. The Deed of Trust and note shall be in form'
acceptable to and approved by the attorney for the Seller and~.
Buyer.
6. This Agreement shall become null and void and
the earnest money returned to the Buyer is, after diligent effort,
the Buyer has not been able to. obtain within 180 days from the
date of this Agreement the following items:
a. A use permit for 12-1/2 multi~fam1ly ap~rtment
units per acre bas~d on the overall acreage.
b. Engineering information satisfactory to Buyer
regarding the cost of sewer lines to Buyer is not excessive in
increasing the capacity of prese~t sewer lines that the water
drains are adequate in capacity for the use of the. Buyer and
that the Buyer has the ability to enter into a satisfactory
agreement with Chesterfield County, Virginia for water and
sewer services.
c. Satisfactory evidence from 5011 tests and borings
showing that at lease ninety percent (90%) of the property being
sold 1s suitable for the construction of apartment buildings
with natural foundations and footings, and without the necessity
to use any unusual or extraordinary methods of construction
and/or excavation for the installation of foundations and footings
for these buildings.
7. The Seller and Buye~ agree that if examination
of Seller's title to .the land described should disclose any valid
legal defect .or objection to Seller's title, and if such defect
or objection has not been removed 'within 180 days after the date
of this Agreement, then this Agreement shall be null and void
and the earnest money shall be returned to the Buyer and the Seller

shall not be l~ble for any damages, losses or expenses suffered
or incurred by the Buyer, .including the cost of the hereinafter
mentioned survey. The Seller shall not and does not agree that
he wl~l remove any such legal defect or objection to his title
1n order to convey title to Buyer clear of such defect, but,
Seller may, at his option, do so in order to convey title clear
of 5uch'objection or defect within the time limit stated above.
8. The land sold by the Seller to the Buyer herein
is described as follows:
ALL of that certain parcel of land consisting of
approximately twenty-nine (29) acres of land, more or less,
fronting on the southern line of Little Creek Lane and on the
western line of Hopkins (formerly Beulah) Road in Chesterfield
County, Virginia, and furthermore shown along with an undeslgnated
three (3) acres belonging to the first cousins of the Seller on
Chesterfield County land sectional plots as '52-15 double circle,
.--One parcel #9, said land being all of the remaining land belonging
to Seller in Chesterfield County, Virginia.
Said land is part of a certain 'tract of land which
"Benjamin H. Nash, Commissioner of the Circuit Court of Chester-
field County by his Deed dated January 4, 1892 and recorded
November 8, 1892 in Deed Book 85, page 484 granted and conveyed
unto Gilbert Dudley, the grandfather of Burrell Dudley, sometimes
known as Burrell Branch Dudley, the Seller herein.
9. Seller agrees to make, execute and deliver to the
_Buyer within sixty (60) days after Buyer notifies Seller that
the conditions set out in paragraph six (6) have been satisfied,
a Deed of General Warranty with the usual covenants of title con-
veying the said land to the Buyer and the Buyer agrees to pay to
the Seller at that time the full amount of the cash due as afore-
said and to make,.execute and deliver to the Seller or his attorney

a Deed of Tru~WhlCh shall constitute a ~rst lien upon the
said land and contain the certain provisions set out herein
above.
10. It 1s understood and agreed by the Seller and
the Buyer that said Deed shall be under and subject to certain
easements now of record for 011 and gas and for telephone lines,
and also for a sewer line acquired or being acquired through
condemnation proceedings by public authority.
11. The Seller agrees to pay the Grantor' s-" tax but
all other taxes shall be prorated as of the date of settlement.

Possession shall be delivered on the date of

sett-lement and delivery of the Deed.
13. The total price or consideration for the land
sold and conveyed by the Seller to the Buyer shall be determ~ned
by a survey, which shall show the net acreage, to be made by
a cert~fied land surveyor engaged and .paid by the Buyer. If the
s~le is consummated, the Seller agrees to reimburse the Buyer
for the cost of said survey at the time of the settlement.
14. Buyer has deposited with this Agreement the sum
of One Thousand Dollars ($1,000.00) with Marsteller Realty, the
real estate brokers representing the Seller, which sum 1s to be
applied to the purchase price or refunded if the conditions and
terms of this Agreement are not satisfied.
15. Settlement shall be at the office or Marsteller
Realty, 2109 North Hamilton Street, Richmond, Virginia, or such
place as designated by the Buyer in the Richmond metropolitan
area.
16. Upon -the completion of the 'sale at the time of.
this settlement, Seller agrees to pay Marsteller Realty a real

duly and lawfully authorized and empowered to'do so, has signed
