The Board of Supervisors is requested to approve a resolution to recognize
the owners and employees of Old Dominion Insulation for their donation of
time and materials for the senior center facilities at the Episcopal Church
of Our Savior.
Summary of Information:
Mr. Warren requested that the Board recognize the owners and employees of Old
Dominion Insulation who graciously donated $20,000 in renovation services and
materials for the senior center facility at the Episcopal Church of Our
Savior. The senior center is a non-profit which serves the leisure needs of
senior adults in Chesterfield County. Old Dominion Insulation serves as an
excellent example of how businesses can give back to the community by
contributing toward the health and wellness of the senior adult citizens of
Chesterfield County.

CORPORATION FOR THEIR GENEROUS DONATION TO THE SENIOR CENTER AT
THE EPISCOPAL CHURCH OF OUR SAVIOR
WHEREAS, senior centers provide for wholesome, leisure,
lifestyle activities for the enjoyment of the senior adult county
residentsj and
WHEREAS, the Episcopal Church of Our Savior has provided use
of their church to house the senior centerj and
WHEREAS, the owners and employees of Old Dominion Insulation
voluntarily provided $20,000 worth of services and materials to
renovate the Episcopal Church of Our Savior, which allowed for
adequate accommodations for a senior center to operatej and
WHEREAS, these services and materials included renovation of
bathrooms to make them handicapped accessible, renovation of the
kitchen, new flooring and carpet, new lighting, wall demolition and
interior paintingj and
WHEREAS, Roddy Davoud, Jeff Davoud, Chris Dovoud and Scott
Armstrong volunteered their time and expertise to ensure that the
project was done in an excellent manner.
NOW, THEREFORE, BE IT RESOLVED that the Chesterfield County
Board of Supervisors, this 23rd day of January 2008, publicly
recognizes the owners and employees of Old Dominion Insulation for
their generous contribution to the senior center at the Episcopal
Church of Our Savior.
AND, BE IT FURTHER RESOLVED that a copy of this resolution be
presented to Old Dominion Insulation Corporation and that this
resolution be permanently recorded among the papers of this Board
of Supervisors of Chesterfield County, Virginia.

Summary of Information:
A work session on the proposed Capital Improvement Program (CIP) has been
scheduled for this date. The proposed CIP encompasses a six year period,
FY2009-2014. The Program proposes investments in new facilities, renovations
and expansions of existing facili ties, and a local road program while
continuing projects to be financed with bonds authorized through the 2004
bond referendum.
The six year plan proposes expenditures of $855.7 million. A breakdown of

Cultural Advisory Commission.
Summary of Information:
At the board's public hearing on immigration issues, the idea of creating a
Multi-Cultural Advisory Commission to advise the Board of Supervisors on
issues related to the diverse communities that comprise Chesterfield County
was expressed.
The Board of Supervisors is requested to create a Multi-Cultural Advisory
Commission to advise the Board and County Administrator on workable solutions
to shape policies and practices with an effect on the multicultural diversity
in fast growing Chesterfield County. The Commission will:
. Foster and facilitate dialogue on Immigration Issues facing Chesterfield
County.
. Articulate cultural concerns, issues, and aspirations, then recommend
practical consensual policies to address them.

The Board is requested to take the following actions to authorize the
purchase of the remaining ground lease at Cloverleaf Mall:
1 . Authorize the County Administrator to execute a Purchase and Sale
Agreement for the purchase of Millmar Partnership, L.P.'s interest in the
approximately 43-acre Cloverleaf Mall parcel.
2. Authorize the County Administrator to send Millmar Partnership, L.P.
notice of a May 23, 2008 closing date.
3 . Authorize the County Administrator to execute an assignment of the
County's interest in the Purchase and Sale Agreement to the Economic
Development Authority of the County of Chesterfield;
4 . Approve an increase in the note between the Economic Development
Authority and Wachovia Bank in an amount sufficient to fund the purchase
price and closing costs, but not to exceed $7.37 million.
Summary of Information:
In 2004, the Economic Development Authority purchased the Cloverleaf Mall
buildings and adj oining parcels of land, including the "Sears" parcel.
Financing for these purchases was provided through a line of credit loan of
up to $10,000,000 to the EDA which was backed by a "Support Agreement" under
which the County is obligated, subject to annual appropriations, to make the
loan payments.

The land under the mall buildings is owned by Millmar Partnership, L.P. and
rented to the EDA pursuant to a ground lease. The current purchase agreement
is for the EDA to purchase Millmar's interest, thereby terminating the ground
lease and its rental payment and allowing the EDA to hold all of the
ownership interests in Cloverleaf Mall. If the Board approves the purchase
of the ground lease, the pending lawsuit with Millmar contesting the manner
of valuing the leasehold will be dismissed.
The monthly rental payment under the ground lease, which will increase in
June 2008, is expected to approximate the monthly interest payment on the
increase in the notej accordingly, the current appropriation for ground lease
payments will be sufficient for making the increased interest payments
through the end of FY2008. The EDA anticipates retiring the note from
proceeds from the sale of the property to Crosland.
In January 2007, the County and the EDA entered into a Purchase and Sale
Agreement with Crosland Investments, LLC pursuant to which Crosland will
purchase Cloverleaf Mall from the EDA and redevelop it into a mixed use
project with commercial, office and residential uses. The completion of the
purchase by Crosland is subject to several contingencies, including rezoning
of the property, agreement on economic development incentives and the
acquisition of Millmar's interest.

REAL EST ATE PURCHASE AGREEMENT
THIS REAL ESTATE PURCHASE AGREEMENT (this "Agreement") is made as of
January _, 2008 by MILLMAR PARTNERSHIP, L.P., a Virginia limited partnership
("Seller"), and THE COUNTY OF CHESTERFIELD, VIRGINIA, a political subdivision and
body politic of the Commonwealth of Virginia ("Purchaser").
RECITALS
Seller owns certain real property located in the southwest quadrant of the interchange of
Midlothian Turnpike and Chippenham Parkway, in the County of Chesterfield, Virginia, which is
more particularly described in the Lease which is described below (the "Land"). The Seller's
interest in the Land is subject to the Ground Lease Agreement, dated January 18, 1966, between
John H. Marks and Elizabeth R. Marks, predecessors in title to the Seller, as Lessors, and
Leonard L. Farber Company, Inc., predecessor in title to The Economic Development Authority
of the County of Chesterfield, a political subdivision and body politic of the Commonwealth of
Virginia created by and affiliated with Purchaser (the "EDA"), as Lessee (which lease as
subsequently amended and modified is the "Lease"). The Land has been improved with retail
shopping space, related parking, landscaping and other amenities and improvements and operated
as the Cloverleaf Mall.
The EDA's interest in the Lease and its ownership of property adjacent to the Land was
financed through a loan transaction in which debt service payments are contingent upon annual
appropriations being made by the Purchaser in amounts sufficient to make such payments. In
addition, the Purchaser and the EDA are parties to a Purchase and Sale Agreement with Crosland
Investments, LLC (the "Redevelopment Agreement") which contemplates that the EDA will
acquire the Seller's interest in the Land. To satisfy the terms of the Redevelopment Agreement,
the Purchaser intends to transfer and assign its interest in this Agreement to the EDA and to
provide support to the EDA for the financial obligations necessary to complete the purchase
transaction hereunder.
The EDA exercised its right to exercise the option to purchase the Land from Seller
pursuant to Section 44.02 of the Lease. The Seller exercised its right under Section 44.02 of the
Lease to determine the purchase price of the Land pursuant to the appraisal process contained in
Article 37 of the Lease. Certain disputes arose between Seller and the EDA concerning the
interest in the Land to be valued by the appraisal process (the "Disputes"). Seller filed a
Complaint on May 30, 2007 (the "Declaratory Judgment Action") in the Circuit Court of the City
of Richmond, Virginia (Case No. CL07002704-00) seeking resolution of the Disputes. By Order
entered by the Circuit Court of the City of Richmond, Virginia, dated August. 8, 2007, the
Declaratory Judgment Action was transferred to the Circuit Court of the County of Chesterfield,
Virginia. Thereafter, the EDA, Purchaser and Seller engaged in discussions attempting to resolve
the Disputes and as a result of such discussions Seller has agreed to sell the Land to Purchaser
and Purchaser has agreed to purchase the Land from Seller on the terms and conditions set forth
in this Agreement. The Purchaser intends to transfer and assign its interest in this Agreement to
the EDA with the Purchaser providing support to the EDA for the financial obligations necessary
to complete the purchase transaction hereunder.
AGREEMENT
In consideration of Ten Dollars ($10.00) cash in hand paid by Purchaser to Seller, and the
mutual covenants herein contained, and other good and valuable consideration the receipt and
sufficiency of which are acknowledged, Purchaser agrees to purchase the Land from Seller and
Seller agrees to sell the Land to Purchaser on the following terms and conditions:
1. PURCHASE PRICE. The purchase price for the Land is Seven Million Two
Hundred Fifty Thousand and 00/100 Dollars ($7,250,000.00) which, as adjusted pursuant to the
terms of this Agreement, is the "Purchase Price" and shall be payable by wired Federal funds to
Seller's exchange intermediary at Closing (as hereinafter defined). The Purchase Price is "in
gross" and not by the acre.
2.
CONDITIONED UPON BOARD APPROVAL.
Notwithstanding
anything
herein to the contrary, the obligations of Purchaser and Seller hereunder are expressly subject to
and conditioned upon the following actions being taken by the Board of Supervisors of the
County of Chesterfield, Virginia (the "Board of Supervisors"), on or before January 27,2008 (the
"Ratification Date"), time being of the essence: (a) approval and ratification of this Agreement,
(b) assignment of its rights and interests in this Agreement to the EDA, (c) approval of or
appropriation of financing for the EDA in an amount sufficient and in a manner legally sufficient
to enable the EDA to pay the Purchase Price and other amounts payable hereunder. The
obligations of Purchaser and Seller hereunder are also expressly subject to and conditioned upon
(d) the EDA's approval and ratification of this Agreement and acceptance of the assignment from
the Purchaser by the Ratification Date, time being of the essence. If the actions stated in ( a), (b)
(c) and (d) do not occur by the Ratification Date, either Seller or Purchaser may terminate this
Agreement by written notice to the other and neither party shall thereafter have any rights or
obligations under this Agreement.
3.
CLOSING TIME AND PLACE.
Provided all conditions in Paragraph 5 of
this Agreement have been satisfied, closing of the transactions contemplated under the
Agreement (the "Closing") shall occur on or before July 31, 2008, on a date which is a business
day (meaning a day which is not a weekend, Federal, state or local holiday and Federally insured
financial institutions are open for business) selected by Purchaser pursuant to a written notice
given by the Purchaser after timely ratification and approval of this Agreement and timely
authorization and approval (and appropriation, if applicable) of Purchaser's financing as
provided above and delivered to Seller not less than one hundred twenty (120) days in advance of
the date of Closing. Closing shall be held at the office of the County Attorney of the County of

4. SELLER'S RIGHT TO EXTEND THE DATE OF CLOSING.
Notwithstanding the provisions of Paragraph 3 to the contrary, the Seller shall have the
right to extend the date of Closing by written notice delivered to the Purchaser at least three (3)
days prior to the scheduled date of Closing for a period of up to ninety (90) days, even if such
extension delays the date of Closing to after July 31, 2008.
5. CLOSING.
(a) Conveyances and Deliveries at Closing. Seller shall convey the Land
to Purchaser at Closing by special warranty deed. Seller shall provide the usual affidavit as to
mechanics' liens and possession required by the title insurance company and evidence of
authority to consummate this transaction. Seller shall execute and deliver at Closing a
certification as to non-foreign status form, a form sufficient for the closing agent to prepare an
IRS Form 1099-S, and a Virginia Department of Taxation Form R-5 or R-5E, as applicable.
(b) Possession. Subject to the Lease and the rights of the Lessee under the
Lease, and any subtenants, Seller shall deliver the right of possession of the Land to Purchaser at
Closing. All risk of loss shall be retained by Seller until Closing.
(c)
Prorations.
The Lease is a net lease and all real estate taxes, all utilities,
operating expenses and other expenses associated with the Land are payable by the Lessee under
the Lease and so shall not be prorated. Rent payable under the Lease, except as otherwise
specifically provided hereunder, shall be prorated at settlement. If the date of Closing
determined by the Purchaser is after (or if Closing is delayed by the Purchaser beyond) the date
set in the Lease for the adjustment of rent, then rent under the Lease shall be adjusted as provided
under the Lease, except the fair market value of the Land upon which the adjustment of rent
under the Lease is based shall be based upon the value of $7,400,000.00, in lieu of the
determination process specified in Article 37 of the Lease.
(d) Payment of Closing Costs. The parties shall avail themselves of any
applicable exemptions from recording tax on the Deed. If the Deed is not exempt from
recordation tax, Seller shall pay at Closing the cost of the grantor's tax on the Deed. Seller shall
also pay for the cost of preparation of the Deed and other conveyancing instruments, the cost of
releasing any liens and security interests of record which have been created or caused by Seller
and its own legal fees. Purchaser shall pay at Closing, to the extent the Deed is not exempt from
recording tax, all recording taxes and fees imposed on recordation of the Deed (except for the
grantor's tax), and shall pay all survey costs, title insurance premiums and search fees and other
charges related to Purchaser's due diligence and legal fees. Unless otherwise specified in this
Agreement, each party shall pay its own expenses, including attorneys' fees in connection with
this transaction.
6. PURCHASE PRICE ADJUSTMENT AND EFFECT OF SELLER EXTENSION.
Beginning on February 16, 2008, the Purchase Price shall be adjusted and increased to an
amount equal to $7,250,000.00, plus an amount equal to interest accruing on a principal amount
equal to $7,250,000.00 at an annual rate of six percent (6%), from February 16, 2008 until the
date of Closing as selected by Purchaser or such later date upon which Closing actually occurs as
a result of any delays caused by Purchaser. The Purchase Price shall not be increased for any
period beyond the date scheduled for Closing by Purchaser as a result of the exercise by Seller of
its right to extend the date of Closing as provided above. If Seller extends the date of Closing as
provided above, Purchaser shall continue to pay rent as and when it becomes due at the rate
provided in the Lease (prorated for any partial month) through and until the date of Closing.
However, if Seller elects to extend the date of Closing as provided above, Purchaser may elect,
on the date originally scheduled by Purchaser as the date of Closing, to deposit the full amount of
the Purchase Price, as adjusted, in an escrow account acceptable to the Seller and in a manner
which shall assure the Seller (as supported by the opinion of its tax counselor its tax accountant)
that all proceeds in such escrow account shall be eligible for a Section 1031 (as defined
hereinafter) tax deferred exchange and which are appropriate for investment by a public
authority, with the effective date of Closing for Section 1031 purposes being the actual date of
Closing following the expiration of Seller's extension period. The Purchase Price deposited in
such escrow shall be invested in a manner acceptable to Seller and the interest and earnings shall
inure to and become part of the Purchase Price and in such event Purchaser shall not be
responsible for or liable to pay rent during the pendency of Seller's extension period. If Seller's
tax counselor tax accountant advises that the deposit of the Purchase Price in escrow could
adversely affect Seller's ability to treat the sale of the Land as a tax deferred exchange under
Section 1031, or, for Section 1031 purposes, the sale having an effective date of closing as of the
actual date of Closing, Purchaser shall not deposit the Purchase Price in escrow as provided
above, but shall pay the Purchase Price on the date of Closing and shall continue to pay rent
under the Lease through and until the date of Closing.
7. NOTICES. All notices called for hereunder shall be in writing and shall be
deemed to have been received upon the earlier of (i) the date when actually received, whether by
hand delivery, telefax, United States mail or nationally recognized overnight delivery service, or
(ii) the fourth day after deposit with the United States mail, postage prepaid, registered or
certified mail, return receipt requested, or (iii) the first business day after deposit with a
nationally recognized overnight delivery service (Federal Express and United Parcel Service, for
example), charges prepaid for next day delivery, addressed as follows:

8. BROKERS. Seller and Purchaser each represents to the other that it has dealt
with no real estate agent or broker in connection with this Agreement. If either party to this
Agreement is legally obliged to pay the fees or commissions of a third party real estate agent or
consultant, such fees or commissions shall be paid by such obligated party at Closing or as soon
thereafter as such obligation is determined.
9. LIKE KIND EXCHANGE. Purchaser agrees that Seller may assign its interest
in the Land under this Agreement to a qualified intermediary designated by Seller for the purpose
of effecting an exchange for like-kind property under Section 1031 of the Internal Revenue Code
of 1986, as amended ("Section 1031 "). Likewise, Seller agrees that Purchaser may assign this
Agreement to a qualified intermediary designated by Purchaser for the purpose of effecting an
exchange for like-kind property under Section 1031. Purchaser and Seller shall each cooperate
with the other in consummating the exchanges contemplated by this paragraph; provided,
however, that neither party shall incur any expense or liability whatsoever in connection with any
exchange by the other party other than would have been incurred by such party in a direct
purchase as if there had been no exchange. Except as expressly provided herein, there shall be
no delay in Closing as a result of any exchange. Neither party shall assume any liability,
responsibility or obligation to the other, the Internal Revenue Service or any other person, firm or
governmental body or agency in the event all or a portion of the other party's exchange is not tax
free. Purchaser and Seller each agree to cooperate with the other's like kind exchange and,
subject to their reasonable approval, to execute any necessary documentation, including without
limitation, an Exchange and Escrow Agreement, as is necessary to effect the like kind exchange.
All costs and expense associated with the like kind exchange shall be borne solely by the party
involved in the exchange.
10. CASUALTY AND CONDEMNATION.
(a)
Casualty.
If any loss or damage occurs prior to Closing as a result of
fire, wind, storm or other casualty, Purchaser shall be entitled to receive an assignment of
insurance proceeds, if any, payable to Seller with respect to such loss or damage to the Land and
shall proceed to Closing with no reduction in the Purchase Price on account thereof.
(b)
Condemnation.
If, prior to the Closing, any taking pursuant to the
power of eminent domain is proposed or occurs, as to all or any portion of the Land, or a sale
occurs in lieu thereof, the Purchaser shall proceed to the Closing, in which event, all proceeds,
awards and other payments arising from any such taking or sale shall be paid to the Purchaser,
with no adjustment of the Purchase Price paid at Closing being made on account thereof. If
condemnation proceedings are instituted by the County to acquire title to the Land, it is hereby
stipulated by the County and Seller that this Agreement may be introduced in such proceedings
as conclusive evidence of the value of the Land taken if offered by the Seller in such
proceedings.
11. PROVISIONS EFFECTIVE UPON ASSIGNMENT TO EDA. Effective upon
assignment of this Agreement to the EDA as evidenced by acceptance of such assignment, the
EDA shall be deemed to covenant and agree:
(a) The EDA hereby waives and releases its rights and options to purchase the
Land under the Lease, whether under the purchase option contained in Section 44.01 of the Lease
or the right of first refusal option under Section 12.01 of the Lease, and agrees that the
Purchaser's rights under this Agreement shall be the sole and exclusive source of rights of the
Purchaser and/or the EDA to purchase the Land from the Seller.
(b) Effective immediately upon Closing, the Lease shall merge into the fee
simple title and shall be of no further force or effect.
12. MISCELLANEOUS.
(a)
Entire Agreement.
This Agreement constitutes the entire agreement
between the parties and may not be modified or changed except by written instrument executed
by both Seller and Purchaser. All prior negotiations, understandings and agreements are
superseded and are merged herein.
(b)
Successors and Assigns.
All provisions of this Agreement shall be
binding upon and inure to the benefit of the parties and their successors and assigns. Except as
provided herein, this Agreement may not be assigned by Purchaser without the written consent of
the Seller. Purchaser shall have the right, without the consent of Seller being required to assign
its rights under this Agreement to the EDA; provided, however, the Seller shall not by reason of
such assignment be released from its obligations hereunder, and no such assignment shall be
effective until such time as the conditions precedent in Paragraph 3 of this Agreement have been
satisfied in full.
(c)
Gender.
All pronouns shall be construed to be of such gender and
number as the context may require.
(d)
Headings.
All headings are for convenience or reference only and do
not constitute a part of this Agreement or affect its meaning.
(e) Governing Law. This Agreement shall be governed by and construed
in accordance with the laws of the Commonwealth of Virginia.
(f) Rights and Remedies. Seller and Purchaser each reserve all rights,
remedies and powers of enforcement to which they may be entitled under applicable law and in
equity as to this Agreement and all matters arising under this Agreement, including the right of
specific performance.
(g) Time is of the Essence. Time is strictly of the essence of this Agreement
and all dates and time periods contained herein.
(h) Dismissal of Declaratory Judgment Action. Upon execution of this
Agreement, the parties agree that all legal proceedings concerning the Dispute shall be suspended
pending action by the Board of Supervisors and the Purchaser as provided in Paragraph 2. Upon
approval and ratification of this Agreement by the Board of Supervisors, the parties will jointly
submit an Order dismissing the case without prejudice to the right of either party to recommence
the case if the transaction contemplated by this Agreement does not close.

Center. The grant will pay all personnel costs associated with one of two
local probation officers in the Day Reporting Center, which provides the
General District, Circuit and Juvenile & Domestic Relations Courts an
alternative for adult persons diagnosed with substance abuse disorders. The
probation officer will conduct assessments, drug & alcohol testing,
coordinate offender community service work, assist with offender fee
collection and provide life skills counseling. One probation officer position
has been funded with JAG grant funds in the DRC since October 2005.

Congress recently passed an FY08 (October 1, 2007 - September 30, 2008)
Omnibus appropriations bill that contained cuts to the Byrne/Justice
Assistance Grant program. (An "Omnibus" bill packages together several
measures into one, or combines several diverse subjects into a large single
bill). As a result, future grant allocations to Chesterfield County may be
reduced or eliminated. Staff will continue to monitor this issue closely and
advise the Board of any reductions in federal financial support for the Day
Reporting Center.

This item requests that the Board award a contract for the construction of
the Falling Creek Farms Section F Drainage Improvements Phase I to Godsey
and Sons in the amount of $37,638.10. Funding for this project was adopted
in the FY07 and FY08 CIPs and sufficient funds are available in the capital
project account to fund this contract.
This proj ect will alleviate flooding problems for three residents in
Falling Creek Farms in the Dale District. The original funding and project
plan was larger in scope than the current plan and required collaboration
with VDOT to replace one of their drainage pipes. However, the estimates
for this project came in higher than expected and VDOT personnel chose to
use their resources elsewhere, changing Chesterfield's proj ect plan.
Consequently, the amount needed has decreased from the original amount of
$135,000, most of which would have been funded by VDOT, to the amount
requested for the contract. The revised plan will still alleviate the
flooding problems and will not cause any new issues for residents
downstream.

to support a sex offender treatment program, wi th the stated goal of

This appropriation will support a CY2008 Work Plan for 25 participants and
1,000 hours of assessment, counseling and case management services. In
CY2007, a total of 33 individuals participated in the program, receiving
1,246 hours of assessment, counseling and case management services.

ACA Architects in the amount of $289,901 for the design of up to a 14,486
square foot, three-bay drive-through Courthouse/Route 288 Fire and Rescue
Station. This fire station is one of the 2004 referendum projects.
Funding in the amount of $763,000 is appropriated and there is a sufficient
balance to award this design contract. This design firm will be assisting
in the site selection process. Site selection and design work should take
approximately 18 months with construction anticipated to follow in FY2010.
Additional funding is planned in the proposed CIP over FY2009 and FY2010.
As planned, the total proj ect budget is $7.96 million. rhe operating
budget impact (estimated $1.7 million) will begin in FY2011 and require the
creation of 18 firefighter positions, two lieutenants, and one captain.

Summary of Information:
It is the policy of the county to acquire right of way whenever possible
through development to meet the ultimate road width as shown on the County
Thoroughfare Plan. The .dedication of this parcel conforms to that plan, and
will decrease the right of way costs for road improvements when constructed.

This item requests that the Board award the construction contract to
Southwood Builders, Inc. in the amount of $5,928,800.00, transfer $4,100,000
from the Bailey Bridge Sewer Project and $3,900,000 from the Meadowville
Sewer Project to the Proctor's Creek Wastewater Treatment Plant Project, and
authorize the County Admirtistrator to execute the necessary documents.
Summary of Information:
This project consists of the rehabilitation of the existing influent pump
station and existing filter basins and equalization tanks at the Proctors
Creek Wastewater Treatment plant, with various civil, structural, mechanical
and electrical work.
Staff received three (3) bids ranging from $5,928,800 to $6,266,000. The
lowest bid, in the amount of $5,928,800, was submitted by Southwood Builders,
Inc. The County's engineering consultant, R. Stuart Royer & Assoc., has
evaluated the bids and recommends award of the contract to the low bidder.

In January 2007, DEQ issued new nutrient removal general permits for both our
wastewater treatment facilities. The new nutrient removal regulations
require nutrient (specifically nitrogen and phosphorus) removal compliance by
January I, 2011. In September 2007, our consultant engineer completed a
preliminary engineering report (PER) which identified five major construction
projects at our wastewater treatment plants that will be required to meet the
new nutrient removal regulations, at an estimated cost of $152 million. The
Influent Pump Station and Filter Rehabilitation Project at the Proctors Creek
WWTP is one of the five projects.

Budaet and Manaaement Comments:
This i tern requests that the Board award the construction contract to

funding to award this contract. The remaining $2,071,200 transferred will

The $4,100,000 transfer will come from the Bailey Bridge Sewer Project
Phase III which is complete. The $3,900,000 transfer is from the
Meadowville Sewer Project which will still have almost $2,000,000 left in
it after the transfer. This funding is not expected to be needed in the
Meadowville project.

REQUEST: Substantial accord review for a proposed public facility (communications tower).
PROPOSED LAND USE:
A communications tower, incorporated into an existing electrical transmission
structure, and associated improvements are planned.
RECOMMENDA TION
Recommend approval for the following reasons:
A. The proposal conforms to the Public Facilities Plan and Tower Siting Policy.
Incorporation of the communications facilities into an existing electrical transmission
tower eliminates the need for an additional freestanding structure in the area, thereby
minimizing tower proliferation.

ENVIRONMENTAL
In the construction of the proposed communications tower, ifmore than 2500 square feet of land is
disturbed, a land disturbance permit must be obtained from the Department of Environmental
Engineering.
COUNTY COMMUNICATIONS
The Zoning Ordinance requires that any structure over eighty (80) feet in height be reviewed by the
County's Public Safety Review Team for potential detrimental impacts the structure could have on
the County's Radio Communications System microwave paths. This determination must be made
prior to construction of the commupications tower.
COUNTY AIRPORT
A preliminary review of this proposal indicates that, given the approximate location and elevation of
the proposed installation, it appears there will be no adverse affect on the County Airport.

LAND USE
Comprehensive Plan:
Lies within the boundaries of the Midlothian Area Community Plan which suggests properties
is appropriate for residential use of 1.01 to 2.5 units per acre lots.
The Public Facilities Plan, an element of the Comprehensive Plan, suggests that energy and
communications uses should be co-located, whenever feasible, to minimize impacts on
existing and future areas of development.
Area Development Trends:
A Virginia Power high-tension transmission line traverses the property. In addition, area
property is characterized by single-family residential uses in Hawkins Wood, Hartley Village
and Hawthorne Village subdivisions and on acreage parcels or is vacant. Residential
development is expected to continue in this area for the foreseeable future, in accordance
with the Plan.
Development Standards:
The Zoning Ordinance provides that communications towers may be permitted within
Agricultural (A) Districts provided that antennae are co-located on electric transmission
structures; are flush-mount; are restricted to a maximum height of twenty (20) feet above the
height of the transmission, structure; and are gray or other neutral color.
CONCLUSION
The proposed communications tower satisfies the criteria of location, character and extent as
specified in the Code of Virginia. Specifically, the Public Facilities Plan suggests that
communications towers should be located to minimize the impact on existing or planned areas of
development and that energy and communications facilities should co-locate whenever feasible. The
communications tower will be incorporated into an existing permitted electrical transmission
structure. The addition of the communications facilities into the structure of the existing
transmission tower does not generate a visual impact that is significantly greater than the visual
impact of the existing electrical transmission tower. This co-location will eliminate the need for an
additional freestanding communications tower in the area, thereby minimizing tower proliferation.
In addition, the Ordinance minimizes the possibility of any adverse impact on the County
Communications System or the County Airport.
Given these considerations, staff recQmmends the Commission find the proposal consistent with the
adopted Comprehensive Plan.

Ordinance relating to the regulation of farm wineries within the County
Summary of Information:
The 2007 General Assembly adopted new legislation that limits the ability of
localities to regulate farm wineries licensed by the Commonwealth. The
legislation precludes locali ties from regulating: (i) the production and
harvesting of fruit and the manufacturing of wine, (ii) the on-premises sale,
tasting or consumption of wine, and (iii) the sale of wine-related items that
are incidental to the sale of wine. There is at least one farm winery in the
County, Woodland Vineyard on Genito Road.
The legislation requires certain changes to the County's Zoning Ordinance
that are effectuated by the attached ordinance amendments. The Board of
Supervisors referred this matter to the Planning Commission for public
hearing and recommendation. On November 20, 2007, the Planning Commission
recommended approval of these amendments. Staff recommends that the Board
adopt the proposed amendments after a public hearing.

AN ORDINANCE TO AMEND THE CODE OF THE COUNTY
OF CHESTERFIELD, 1997, AS AMENDED, BY AMENDING AND REENACTING
SECTIONS 19-125,19-227 and 19-301 OF THE ZONING ORDINANCE
RELATING TO REGULATION OF FARM WINERIES
BE IT ORDAINED by the Board of Supervisors of Chesterfield County:
(1) That the Code of the County of Chesterfield, 1997, as amended, is amended by amending
and reenacting Sections 19-125, 19-227 and 19-301 as follows:
Sec. 19-125. Accessory uses, buildings and structures.
The following accessory uses, buildings and structures shall be permitted in the A
District:
(a) Those accessory uses, buildings and structures permitted in the R-88 District.
(b) The sale or offering for sale, by the owner or tenant, of any form of goods
produced or grown on the farm land including: (1) the construction of a
greenhouse, hothouse or plant nursery, for the purpose of starting plants to be
incorporated into the farming use, but not for direct sale; and (2) including the
construction of a stand or shelter for the sale of such goods.
19. The sale of wine-related items that are incidental to the sale of wine at a farm
winery licensed in accordance with Code of Virginia ~4.1-207.

Sec. 19-227. Sale of alcoholic beverages near schools.
(a) Notwithstanding any provisions in this chapter to the contrary, a conditional use permit
shall be required for all commercial establishments seeking to sell alcoholic beverages, as
defined in Code of Virginia, S 4.1-100, for on-premises consumption, within 500 linear
feet of a school that is owned or operated by the county and that is built after December
15, 1993.1

(b) As part of the regular review of all business license applications, the director of planning
shall determine whether a commercial establishment intends to sell alcoholic beverages
for on-premises consumption and whether it is located within 500 linear feet of a school
built after December 15, 1993 that is owned or operated by the county. If the director of
planning cannot determine whether the commercial establishment is located more than
500 linear feet from such school, the director of planning shall require, and the
commercial establishment shall provide, a certification from a registered surveyor
confirming the distance from the commercial establishment to the school. If the
commercial establishment fails to provide the surveyor's certification, it shall be
presumed that the establishment is within 500 linear feet of the school.
(c) No commercial establishment that holds a valid alcoholic beverage license from the
Virginia Alcoholic Beverage Control Board at the time a school that is owned or operated
by the county locates within 500 linear feet of the commercial establishment shall
become a nonconforming use or be required to obtain a conditional use permit solely by
virtue of the location of such school, so long as such license remains in force, is reissued
as provided by law or, if such establishment is sold to a new owner, a valid license is
issued to the new owner and such license remains in force or is reissued as provided by
law.
(d) The distances prescribed in this section shall be measured by extending a straight line
from the nearest property line (not the lease line) of the establishment selling alcoholic
beverages to the nearest property line of the school.
W Nothing in this section shall apply to the sale or consumption of wine at a farm winery
licensed in accordance with Code of Virginia &4.1-207.

Sec. 19-301. Definitions.
For the purposes of this chapter, the following words and phrases shall have the
following meanings:

Farm: Any tract of land which is used for raising agricultural products and which may
include facilities for the sale of such products from the premises where produced-;'\ including a
farm winery licensed in accordance with Code of Virginia 94.1-207. The definition of "farm"
shall not include stock farms, commercial plant nurseries, commercial greenhouses, commercial
hatcheries or other commercial retail or agriculture-related industrial use.
2) That this ordinance shall become effective immediately upon adoption.

A public hearing is scheduled for this date to consider the exercise of
eminent domain for the acquisition of right-of-way and utility easements for
the Beulah Road (Summerleaf Drive to Hopkins Road) Bond Project.
Summary of Information:
In May 2007, the Board authorized staff to proceed with the acquisition of
right-of-way and utility easements for the Beulah Road (Summerleaf Drive to
Hopkins Road) Bond Project and authorized the advertisement of an eminent
domain public hearing, if needed. Right-of-way and easements have been
acquired from 20 of the 22 landowners impacted by the project.
The county's right-af-way consultant has been unable to determine the heirs
of the Lucius F. Robinson Estate, parcel identified as 4601 Beulah Road, GPIN
7806771854. Court action is required to complete this acquisition. The
appraisal for acquisition of the right-af-way and easements is $8,970.

The parcel located at 4703 Mason Woods Court, GPIN 7796771483 is owned by
Maria Fernanda Sanches and Mario Castillo. Mario Castillo has verbally agreed
to accept the county's appraised offer of $1,480.00 for a VA Power easement.
The county's consultant has been unable to make contact with the co-owner,
Maria Fernanda Sanchez. Court action is required to complete this
acquisition.
If the county proceeds with eminent domain, certificates will be filed which
will immediately entitle the county to enter and use the right-of-way and
easements. The county will then be obligated to purchase the right-of-way
and easements from the landowners. Sufficient funds are available in the
budget to pay the anticipated condemnation cost.
Recommendation:
Staff recommends the Board exercise eminent domain for the acquisition of
right-of-way and utility easements on the Lucius F. Robinson Estate, parcel
identified as 4601 Beulah Road, GPIN 7806771854, and for a utility easement
on the Maria Fernanda Sanchez & Mario Castillo property identified as 4703
Mason Woods Court, GPIN 7796771483, for the Beulah Road (Summerleaf Drive to
